Matthew Morris has arranged a meeting with your supervising solicitor in relation to a business venture which he is proposing with his niece, Carolina, and one of her friends, Shazeena Hussain

Carolina de Barros

Carolina is 42 years old. She was married to Antonio de Barros, but they divorced in 2010. They have one daughter, Storm, who is 19. Antonio is a freelance musician and composer. Matthew describes him as a ‘feckless charmer’. He provides for Storm when he can, but that is ‘not very often’ so Carolina is supporting Storm through university. Carolina lives in a rented flat and has few assets, apart from her furniture and a second-hand car. She was highly dependent on the income from her PR job, so she wants to get the business up and running as quickly, and cheaply, as possible. She will need to spend all of her redundancy pay on setting up the new venture.

Carolina has put together a business plan. Together with a bank loan of around £50,000, she thinks that an initial investment of £50,000 should be enough to get the business going but realizes it will need further investment in the future.

Carolina is proposing that she, Shazeena, and Matthew set up a partnership, with a partnership agreement to regulate shares of capital and profit, management responsibilities, working hours, and so forth. 

Shazeena Hussain

Shazeena is 36 years old. She is married to Maaz, and they have two children, aged 8 and 11. Maaz is a nurse at the local hospital. They own their own house, but they have a large mortgage. They recently leased a new car on a PCP plan, but otherwise, they have few assets of any value. Shazeena herself has a few savings. The family needs Shazeena’s income and she is therefore also keen to go ahead with the business as soon as possible. Shazeena will be investing most of her savings and all of her redundancy payment in the new business.

Matthew is 63 years old. After a successful career as a civil servant, he is now retired. He is married with three grown-up children. He and his wife own their house which is mortgage free. Matthew has a comfortable income from a portfolio of shares and he has other substantial assets.

Carolina is the only daughter of Matthew’s brother, who died a few years ago. He was close to his brother and wants to help Carolina as he realizes that redundancy has put her a difficult situation. However, he does not want to be actively involved in the business on a day-to-day basis although he would like some say in the more important decisions. He has studied Carolina’s business plan and considers it to be sound, but is concerned about the amount of borrowing that Carolina is contemplating, both now and in the future. 

Matthew is prepared to make an initial investment of £10,000 but does not want to have to commit any more money to the business. He has made it clear to Carolina that if they need further investment to expand the business at a later date, she will either have to borrow the money or look to other investors. He is a little concerned as he does not want to be involved in a business that is unable to expand due to a lack of investment.
